Issuers and investors

The purpose of supervision by the FIN-FSA is to promote confidence towards the securities markets, which is a precondition for the functioning of these markets. Market abuse erodes this confidence. Our supervision seeks to prevent abuse and, on the other hand, to intervene retrospectively.

The supervision of listed companies' disclosure obligation and IFRS financial statements plays a key role in our supervision, seeking to ensure the reliability, transparency, timeliness and equality of investor information. We also supervise the management of inside information by listed companies and notification of managers’ transactions. In addition, we supervise trading in the financial markets, investigate potential market abuse as well as approve prospectuses, listing particulars and offer documents prepared on securities issues and initial public offerings. We also supervise the notification of major holdings and proportions of voting rights as well as short positions, and publish short positions exceeding the threshold value on our website.

We supervise the disclosure obligation and IFRS financial statements of issuers of shares, bonds and other securities listed on a regulated market, i.e. Nasdaq Helsinki Ltd (Helsinki stock exchange).  We also supervise the ongoing disclosure obligation of issuers of shares, bonds and other securities listed on a multilateral trading facility, i.e. First North Finland.

In line with the principle of home country supervision, we primarily supervise Finnish issuers listed on the Helsinki stock exchange. In keeping with the same principle, we also supervise Finnish issuers whose security is listed on another regulated market within the European Economic Area, such as the Stockholm or London stock exchanges. This also applies to circumstances where a Finnish issuer’s security is not listed at all on the Helsinki stock exchange.

The FIN-FSA does not supervise Finnish issuers whose security is only traded on a multilateral trading facility outside Finland, such as the First North Stockholm venue.
