Validity of, and supplements to, a prospectus
A prospectus will be valid for 12 months after its publication. An approved prospectus may be used during this period in later issues provided that it is supplemented, if necessary, with updated information.
A base prospectus drawn up for an offering programme will be valid for 12 months after its publication. Information contained in a base prospectus must be supplemented, if necessary, with updated information in connection with each issue.
Supplements to the prospectus
The issuer is not obliged to supplement a prospectus after the closing of the offering or admission of the securities to trading.
However, a prospectus must be supplemented if an error or omission of information that could affect investors' ability to make informed investment decisions is noted in the prospectus prior to the closing of the offering or admission of the securities to trading.
Any supplements to the registration document are, as a rule, included in the securities note. It must be considered, case by case, whether the summary of the prospectus also needs to be supplemented. The summary may be supplemented by either drawing up an entirely new summary or adding a supplement. If the summary is fully recast, the changed sections of the document must be clearly indicated using either footnotes or any other means.
Investors who have committed to subscribe or purchase securities before a supplement is published must have a right to withdraw their commitments.
