Disclosure of periodic information
Disclosure of periodic information refers to the issuer's obligation to provide information on its financial performance on a regular basis. This involves the disclosure of interim reports, financial statement releases, financial statements and management reports.
The principle of home member state applies to disclosure of periodic information. Accordingly, listed companies must publish regulated information as referred to in the Transparency Directive according to regulations in their home member states. Home member state regulation may be stricter than the requirements in the Transparency Directive. As regards listed companies, home member state refers to the EU member state where the company has its registered office.
FIN-FSA has the right to issue more detailed regulations on the contents and publication of financial statements and management reports, interim reports, financial statement releases and interim management statements to the extent they are regulated in the SMA or in the Ministry of Finance Decree issued by virtue of the Act. Before the regulation is issued, FIN-FSA must ask for comments by the Finnish Accounting Board.
FIN-FSA has given the standard 5.1 on disclosure of periodic information. The standard gives FIN-FSA regulations and guidelines particularly on management reports, financial statement releases and interim reports. In addition, the standard contains norms for disclosure of periodic information.
